1. Acceptance of Terms

By accessing or using the website and services of Indria ("we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree to all of these terms, you must not use our website or engage our services.

2. About Our Services

Indria provides business consulting services specialising in the India-Australia commercial corridor. Our services include, but are not limited to:

• India market entry strategy and feasibility assessment (B2B)
• Project delivery and PMO management
• Trade facilitation (import/export)
• Government tender support and public procurement advisory
• Partnership and joint venture identification
• Legal and regulatory compliance advisory
• Government land and approvals facilitation
• Sales and marketing support for the Indian market

Our services are advisory in nature. We provide strategic recommendations based on our experience and expertise, but all final business decisions remain the sole responsibility of the client.

3. Engagement and Scope of Work

All consulting engagements are governed by a separate Statement of Work (SOW) or engagement letter agreed upon by both parties. These Terms of Service apply generally to all interactions with Indria , while specific project terms are defined in the SOW.

3.1 Proposals and Estimates

Any proposals, estimates, or quotations provided are valid for 30 days from the date of issue unless otherwise specified. Pricing is subject to change based on scope modifications agreed to in writing.

3.2 Client Responsibilities

To enable effective service delivery, clients agree to:

• Provide accurate and complete information relevant to the engagement
• Designate an authorised point of contact for project communications
• Respond to requests for information or approvals in a timely manner
• Make payments in accordance with agreed terms

4. Intellectual Property

4.1 Our Content

All content on this website — including text, graphics, logos, images, data compilations, and software — is the property of Indria or its content suppliers and is protected by Australian and international intellectual property laws.

4.2 Deliverables

Upon full payment, clients receive a licence to use deliverables produced during the engagement for their internal business purposes. Indria retains ownership of all methodologies, frameworks, templates, and tools used in service delivery.

4.3 Restrictions

You may not reproduce, distribute, modify, display, or create derivative works from our website content or proprietary materials without prior written consent.

5. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and sensitive information exchanged during the course of an engagement. This obligation survives the termination of any engagement for a period of two (2) years, unless otherwise specified in the SOW.

6. Payment Terms

• Payment schedules are defined in the applicable SOW or engagement letter.
• Invoices are payable within 14 days of issue unless otherwise agreed.
• Late payments may attract interest at a rate of 1.5% per month on the outstanding amount.
• All fees are exclusive of applicable taxes (GST in Australia, GST/TDS in India) unless stated otherwise.

7. Limitation of Liability

Our total liability for any claim arising out of or relating to an engagement shall not exceed the total fees paid by the client for that specific engagement. This limitation applies to the fullest extent permitted by law.

8. Disclaimers

8.1 No Guarantee of Outcomes

While we draw on extensive experience in the India-Australia corridor, we do not guarantee specific business outcomes, regulatory approvals, or commercial results. Market conditions, government policies, and third-party actions are beyond our control.

8.2 Not Legal or Financial Advice

Our services do not constitute legal, tax, or financial advice. We recommend that clients seek independent professional counsel for legal, tax, and financial matters. Where we facilitate introductions to legal or financial professionals, we do so on a referral basis only.

8.3 Website Accuracy

We strive to keep our website information current and accurate. However, we do not warrant that all information is complete, error-free, or up to date at all times.

9. Termination

Either party may terminate a consulting engagement by providing 30 days' written notice, unless otherwise specified in the SOW. Upon termination:

• The client shall pay for all work completed up to the termination date.
• Both parties shall return or destroy confidential information belonging to the other party.
• Provisions relating to confidentiality, intellectual property, and limitation of liability shall survive termination.

10. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the State of Victoria, Australia. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.

For engagements primarily executed in India, the applicable governing law and jurisdiction shall be specified in the relevant SOW.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, government actions, pandemics, civil unrest, or infrastructure failures.

12. Modifications

We reserve the right to update or modify these Terms of Service at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our website or services after changes constitutes acceptance of the revised terms.

13. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
